This agreement is made between the Customer whose names are listed in the first page of this agreement (herein referred to as the " Customer" or “you”); and two “Service Providers” (“we”, “us”): Valley Fiber Ltd. (“Valley Fiber”), for Internet and equipment and support services; and Wall Media Ltd. (“Wall Media”), for television and voice services. Either Service Provider can assign their role to another provider, at such Service Provider’s sole discretion, provided the assignee continues to deliver comparable service.
The Customer acknowledges that accepting this agreement changes the service to the service location stated above.
The Customer confirms/acknowledges to us that by accepting this agreement that they are 18 years old and above and are authorized to enter into this agreement.
Individuals named as 'Authorized Contacts' have full authority to add, delete, or change account information or cancel services with Valley Fiber.
The Customer agrees to us those services they have selected as specified above shall be for a period or two (2) years. For clarity at the end of the two (2) year service period the Customer services will automatically extend to a month-to-month basis the same rate and price , until terminated by the customer after giving 30 days' notice to the us.
The Customer agrees to the service plan specified above, with no data for the specified term, at the above-mentioned rate plus applicable taxes. Following the fixed term, the Service Providers may make changes to your services, including monthly fees and charges, by providing at least 30 days notice, which you are free to decline without penalty.
The Customer acknowledges that, with the installation of the fiber and services, and for the discounted equipment and services we provide, early cancellation after services have been activated may be subject to an early termination fee of up to $400 after the first month, less $24 for every month up to 24 months. All other outstanding charges on your account would come due on cancellation.
The Service Providers require a 30-day notice of a change in service location. In the case of moving to another location, services may be transferred as long as the new location is set up with the Service Providers. Early cancellation fees will be waived if the customer is moving out of the service area.
The Customer acknowledges that services can be upgraded at any time during the term of this agreement. For clarity if the Customer wishes to upgrade their services from their current package to an upgraded service package additional charges may apply. This agreement takes effect on the day of signing. Service billing and contract term take effect on the date of final install and services are activated.
Cancellation of services after construction but before services are active, may result in a billable fee.
The Customer will be responsible for the condition of Valley Fiber equipment which, unless you have bought it upfront or as the result of a 24-month rent-to-own arrangement, remain Valley Fiber’s property that must be returned to us within 30 days of termination or early cancellation. All equipment
must be returned in good working and physical condition: while we expect reasonable wear and tear, anything beyond that, in our reasonable evaluation, and any lost equipment, may result in your being charged for the equipment’s replacement or repair through our ordinary suppliers. Replacement remotes and HDMI cables are available at $30 for each remote and $20 for each cable.
Except for equipment we agree to sell you or for you to rent to own, nothing in this agreement transfers ownership of any Valley Fiber equipment to the Customer. That includes the fiber in the ground. If the landlord sells the building or site with our fiber buried on the grounds, Valley Fiber remains its sole owner, and sole owner of our infrastructure, equipment and materials connecting to it.
Valley Fiber modems and routers are tested and confirmed to have the capacity to deliver the speed of your chosen plan. Valley Fiber cannot confirm the capacity of modems or routers not provided by Valley Fiber.
Delinquent accounts may be suspended or cancelled at the Service Providers’ sole discretion, subject to disconnection rules.
The Service Provider cannot guarantee privacy of internet users; the Service Provider shall not be held liable for any breach of the internet users' privacy, messages on the internet may be suspect to third-party interception and review. The Customer acknowledges and agrees that they are responsible for the transmission of information via the internet.
Neither Service Provider guarantees uninterrupted services, because those services depend in part on conditions beyond their control that will no doubt occur from time to time, like power outages. No rebates will be made available in the event of a service outage: while we believe we have some of the best and most solid service around, our prices are consumer rates that do not reflect a Service Level Agreement and would have to be much higher in order to incorporate one.
Neither Service Provider nor their agents or third-party associates shall assume and/or take any liability for the loss of any profit, business, property damage, or bodily injury or death arising from any outage and or use of Services provided by us.
Neither Service Provider nor their agents or third-party associates shall assume any liability of any kind for how any of the services are used or for losses that arise from using the services. The Customer is responsible for complying with Canadian law and acknowledges that none of the services purchased from a Service Provider is for resale or rebroadcasting. If sold or re-broadcast, the relevant Service Provider retains the right to take action at its sole discretion.”
The Customer shall indemnify and hold harmless the Service Provider and its employees, officers, directors, and representatives against any and all loss, cost (Including Lawyer and court costs) damage, injury, liability, claim, penalty, fine, interest or cause of action whatsoever resulting however from: a) The breach of this agreements and any other secondary terms and conditions in association with the Customers services; b) Claims from third-party arising from the customers use of the Services; and c) Any information or content passing through the Service Provider's Network originating with or allowed, knowingly or unknowingly, by the Customer.
No patent, copyright, trademark, trade secret or technological, proprietary or intellectual property rights whatso ever is licensed, granted or otherwise transferred to the Customer by any agreement with the Service Provider, except for the right to benefit therefrom in the course of the use of the Services.

If any provision of this Agreement should be held invalid or unenforceable for any reason whatsoever or to violate any law of any jurisdiction, this Agreement shall be considered severable from such provision, and such provision shall be deemed deleted from this Agreement in such jurisdiction or, in the event that it should be held only to violate the laws of any one jurisdiction, such provision shall be inapplicable only within such jurisdiction, and the remainder of this Agreement shall be valid and binding upon the parties as if such provision was not included herein.
